Independent Sales Representative Agreement

Company: Mellow Mafia. This Agreement takes effect for each Representative on the date they accept it electronically, and that date is recorded with their acceptance.

This Independent Sales Representative Agreement ("Agreement") establishes the terms under which an approved individual or business ("Representative") may independently promote authorized Mellow Mafia products and earn commissions on qualifying product sales.

This Agreement is entered into between Mellow Mafia ("Company") and the individual or entity accepting this Agreement ("Representative").

The Representative acknowledges that participation is voluntary and subject to Company approval, ongoing eligibility, and compliance with applicable law.

To participate, a Representative must:

• Be at least eighteen (18) years old and meet any higher legal eligibility requirements applicable to the products or activities involved.

• Provide accurate legal identity and contact information.

• Complete the Company's registration and verification procedures.

• Accept this Agreement electronically.

• Provide any tax documentation reasonably required for lawful compensation.

• Comply with applicable product, marketing, and consumer protection laws.

Mellow Mafia may reject an application for legitimate business, legal, or compliance reasons.

Enrollment does not guarantee any sales, commissions, or continued participation.

Both individuals and business entities may enroll, and there is no residency requirement.

The Representative acts as an independent contractor and is not an employee, officer, partner, franchisee, joint venturer, or equity owner of Mellow Mafia.

Subject to applicable law and the requirements of this Agreement, Representatives control their own lawful promotional methods, working schedules, and business activities.

Representatives are responsible for their own business expenses, taxes, permits, and legally required registrations.

The Representative is not authorized to execute contracts, incur liabilities, offer warranties, or make commitments on behalf of Mellow Mafia.

The parties acknowledge that the contractual designation does not override any employment classification required by applicable law.

Representatives may promote Company-approved products through authorized referral links, promotional codes, digital communications, and other approved channels.

Representatives may not:

• Make unauthorized product or health claims.

• Sell products in jurisdictions where prohibited.

• Circumvent age verification requirements.

• Misrepresent Company affiliation or authority.

• Alter product labeling or safety warnings.

• Use deceptive advertising or unauthorized testimonials.

• Promise guaranteed results or earnings.

• Recruit or compensate individuals through an unauthorized sales structure.

Representatives must comply with the Company's written brand standards and marketing policies.

5.1 COMPENSATION OPTIONS

Approved Representatives may select one of the following compensation options:

• Option A — Cash Commission: 10%

Representatives electing cash compensation shall earn ten percent (10%) of qualifying gross product sales attributable to their approved Representative account.

Option B — Store Credit: 15%

Representatives electing store credit shall earn fifteen percent (15%) of qualifying gross product sales in the form of Mellow Mafia store credit instead of cash compensation.

The two options are mutually exclusive for each qualifying sale.

5.2 DEFINITION OF QUALIFYING GROSS PRODUCT SALES

Qualifying Gross Product Sales means the actual amount charged to a customer for eligible products after customer discounts, but before deductions for product costs, payment processing fees, fulfillment expenses, or Company overhead.

Sales taxes and separately charged shipping charges are excluded.

Canceled, refunded, fraudulent, or charged-back transactions do not qualify.

Commissions are calculated on the qualifying product sale amount, not on the Company's net profit.

5.3 CASH COMMISSION EXAMPLE

For $1,000 in qualifying gross product sales:

• 10% × $1,000 = $100 cash commission.

5.4 STORE CREDIT EXAMPLE

For $1,000 in qualifying gross product sales:

• 15% × $1,000 = $150 Mellow Mafia store credit.

• Store credit may be applied toward eligible purchases at mellowmafia.shop, subject to the published Store Credit Policy and applicable law.

• Store credit is not redeemable for cash except where required by law.
